Be aware that this Agreement constitutes a legally binding agreement between you and LEGION DAO Foundation (referred to herein as “LEGION”, “us” or “we”) which owns and operates the website https://legion.ventures/ and the Service at https://app.legion.ventures/ (the “Service”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are not authorized to use the Platform or the Services.
ARTICLE 1: USER ELIGIBILITY AND REGISTRATION
1.1 Eligibility Requirements
Access to and use of the LEGION platform (the “Platform”) and its services are restricted to individuals and entities that meet the following eligibility criteria:
- a) Age of Majority: Users must be at least 18 years of age or the age of majority in their respective jurisdiction, whichever is higher.
- b) Legal Capacity: Users must have the legal capacity to enter into binding contracts under applicable laws.
- c) Jurisdictional Compliance: The Platform may not be available in certain jurisdictions due to regulatory restrictions. Users are responsible for ensuring their access and use of the Platform complies with all applicable laws and regulations in their respective jurisdictions.
1.2 Registration Process
To access and use the Platform, users must complete the registration process, which may involve the following steps:
- a) Wallet Connection: Users must connect a compatible cryptocurrency wallet to the Platform. The wallet connection process will involve verifying the user’s ownership of the wallet address and establishing a secure connection between the wallet and the Platform.
- b) Personal Information Collection: LEGION may collect certain personal information from users during the registration process, such as their name, email address, and other relevant details as required.
- c) Know Your Customer (KYC) and Anti-Money Laundering (AML) Procedures: LEGION reserves the right to conduct KYC and AML checks on users at any time, particularly when a user initiates an investment or engages in activities that may be subject to regulatory requirements. Users agree to provide accurate and complete information as requested by LEGION for KYC and AML purposes.
- d) Establishment of Account: Upon successful completion of the registration process and, if applicable, the KYC and AML procedures, LEGION will establish an account for the user, which will be used to access the Platform and its services.
Users acknowledge and agree that LEGION may impose additional registration requirements or procedures as necessary to comply with applicable laws, regulations, or internal policies, and that failure to comply with such requirements may result in the suspension or termination of the user’s account.
1.3 Accuracy of Information
Users are solely responsible for ensuring the accuracy and completeness of all information provided during the registration process and for updating such information as necessary to maintain its accuracy. LEGION reserves the right to suspend or terminate user accounts if it reasonably believes that any information provided is inaccurate, incomplete, or misleading.
1.4 Prohibited Users
LEGION may, at its sole discretion, refuse to grant access to or terminate the accounts of users who are residents of sanctioned countries or are otherwise subject to applicable trade embargoes or economic sanctions. Additionally, LEGION may restrict or prohibit access to the Platform for any user deemed to pose an unacceptable risk, including but not limited to cases of suspected fraud, money laundering, or other illegal activities.
ARTICLE 2: INVESTMENT PROCESSES AND RISKS
2.1 Investment Opportunities
LEGION may offer various investment opportunities in crypto-assets, blockchain projects, and other digital asset ventures (collectively referred to as “Investment Opportunities”). These Investment Opportunities may include, but are not limited to, participation in initial coin offerings (ICOs), security token offerings (STOs), equity crowdfunding campaigns, and other forms of digital asset investments.
2.2 Risk Disclosures
Users acknowledge and understand that investing in crypto-assets and blockchain projects carries significant risks, including but not limited to:
- a) Volatility: The prices of crypto-assets and digital assets can be highly volatile and subject to substantial fluctuations, which may result in significant losses.
- b) Regulatory Uncertainty: The regulatory landscape surrounding crypto-assets and blockchain technology is rapidly evolving and subject to change, which may impact the viability and legality of certain Investment Opportunities.
- c) Technology Risks: Blockchain technologies and crypto-assets are inherently complex and may be subject to various technical risks, such as network failures, security breaches, and software vulnerabilities.
- d) Liquidity Risks: Some crypto-assets and digital assets may have limited liquidity, making it difficult to sell or exchange them at desired prices or in a timely manner.
- e) Project Risks: Investment Opportunities may involve early-stage projects or ventures with limited operating histories, unproven business models, and uncertain prospects for success.
- f) Loss of Investment: Users acknowledge and accept the risk of partial or total loss of their investments in crypto-assets and digital assets.
2.3 Suitability Assessments
LEGION may conduct suitability assessments to evaluate the appropriateness of certain Investment Opportunities for individual users based on their financial circumstances, investment objectives, risk tolerance, and investment experience. Users agree to provide accurate and complete information during these assessments and understand that LEGION may restrict or prohibit their participation in certain Investment Opportunities based on the assessment results.
2.4 Investment Limits and Diversification
LEGION may impose investment limits or diversification requirements on users to mitigate risks associated with certain Investment Opportunities. These limits and requirements may be based on factors such as the user’s financial profile, investment experience, or the characteristics of the Investment Opportunity itself. Users agree to comply with any such limits and requirements imposed by LEGION.
2.5 No Investment Advice
LEGION does not provide investment advice or recommendations regarding any Investment Opportunities. Users are solely responsible for conducting their own due diligence, evaluating the risks and merits of each Investment Opportunity, and making informed investment decisions based on their individual circumstances and risk tolerance.
2.6 No Guarantees or Representations
LEGION does not guarantee or make any representations regarding the performance, profitability, or success of any Investment Opportunity offered on the Platform. Users acknowledge and accept the inherent risks associated with investing in crypto-assets and blockchain projects, including the potential for partial or total loss of their investments.
ARTICLE 3: FEES, CHARGES, AND COMMISSIONS
3.1 Platform Fees
LEGION may charge fees for access to and use of the Platform and its services. These fees may include, but are not limited to:
- a) Subscription Fees: Periodic fees charged for maintaining an active account on the Platform.
- b) Transaction Fees: Fees associated with executing transactions or participating in Investment Opportunities, which may be a fixed amount or a percentage of the transaction value.
- c) Withdrawal Fees: Fees charged for withdrawing funds or digital assets from the user’s account.
- d) Other Service Fees: Fees for additional services provided by LEGION, such as portfolio management, advisory services, or enhanced security features.
3.2 Fee Disclosure and Changes
LEGION will disclose all applicable fees, charges, and commissions to users in a clear and transparent manner before users commit to any transactions or Investment Opportunities. LEGION reserves the right to modify its fee structure at any time, provided that users are given reasonable notice of such changes.
3.3 Third-Party Fees
In addition to the fees charged by LEGION, users may be responsible for paying fees or charges imposed by third parties, such as blockchain network fees, exchange fees, or fees charged by payment processors or financial institutions. Users acknowledge and agree to be solely responsible for any such third-party fees.
3.4 Payment Methods
LEGION may accept various payment methods for fees, charges, and investments, including but not limited to cryptocurrencies, fiat currencies, and other digital payment methods. Users are responsible for ensuring that their chosen payment method complies with all applicable laws and regulations in their jurisdiction.
3.5 Refunds and Cancellations
LEGION reserves the right to establish policies and procedures regarding refunds and cancellations of transactions or Investment Opportunities. Such policies may vary depending on the nature of the transaction or Investment Opportunity and may be subject to certain conditions or limitations.
3.6 Tax Implications
Users are solely responsible for understanding and complying with all applicable tax laws and regulations related to their use of the Platform and participation in Investment Opportunities. LEGION does not provide tax advice and strongly encourages users to consult with qualified tax professionals regarding the tax implications of their investments and activities on the Platform.
ARTICLE 4: OWNERSHIP AND CUSTODY OF DIGITAL ASSETS
4.1 Ownership of Digital Assets
Users maintain ownership and control over the digital assets held in their accounts on the LEGION platform. LEGION does not claim ownership or any proprietary rights over the digital assets belonging to users.
4.2 Custodial Services
LEGION may offer custodial services for the secure storage and management of users’ digital assets. If users choose to utilize these custodial services, they acknowledge and agree to the following:
- a) Transfer of Possession: Users will transfer possession, but not ownership, of their digital assets to LEGION for the purpose of safekeeping and management.
- b) Security Measures: LEGION will implement industry-standard security measures, such as multi-signature wallets, cold storage, and encrypted backups, to protect users’ digital assets from unauthorized access, theft, or loss.
- c) Third-Party Custodians: LEGION may engage reputable third-party custodians or storage providers to assist in the secure storage and management of users’ digital assets.
- d) Custodial Fees: LEGION may charge fees for custodial services, which will be disclosed to users in advance.
- e) Limitations of Liability: LEGION will not be liable for any loss or damage to users’ digital assets resulting from events beyond its reasonable control, such as acts of God, cyberattacks, or failures in third-party systems.
4.3 Non-Custodial Options
Users may choose to store and manage their digital assets independently, using their own wallets or storage solutions, rather than utilizing LEGION’ custodial services. In such cases, users are solely responsible for the security and management of their digital assets.
4.4 Withdrawals and Transfers
Users may initiate withdrawals or transfers of their digital assets from the LEGION platform subject to applicable fees, requirements, and processing times. LEGION reserves the right to establish and modify withdrawal and transfer policies, including limits, verification procedures, and other safeguards, to protect against fraud, money laundering, or other illegal activities.
4.5 Forks and Airdrops
In the event of a fork or airdrop related to any digital asset held by users on the LEGION platform, LEGION will make reasonable efforts to support the new asset or fork, provided that it is technically feasible and compliant with applicable laws and regulations. However, LEGION does not guarantee the support or distribution of forked or airdropped assets.
ARTICLE 5: USER CONDUCT AND PROHIBITED ACTIVITIES
5.1 Lawful Use
Users agree to use the LEGION platform and its services solely for lawful purposes and in compliance with all applicable laws, regulations, and these Terms and Conditions.
5.2 Prohibited Activities
Users are strictly prohibited from engaging in any of the following activities on or through the LEGION platform:
- a) Illegal Activities: Any activities that violate applicable laws or regulations, including but not limited to money laundering, fraud, market manipulation, or the financing of terrorism or other illegal activities.
- b) Abusive Conduct: Any conduct that is defamatory, obscene, threatening, harassing, or otherwise objectionable or disruptive to the platform or its users.
- c) Unauthorized Access: Any attempts to gain unauthorized access to the platform, its systems, or the accounts of other users, including through hacking, password mining, or any other means.
- d) Interference: Any activities that interfere with or disrupt the proper functioning of the platform, its services, or its systems, including through the use of malware, viruses, or other harmful code.
- e) Intellectual Property Infringement: Any activities that infringe upon the intellectual property rights of LEGION or third parties, including the unauthorized use, reproduction, or distribution of copyrighted materials, trademarks, or trade secrets.
- f) Circumvention: Any attempts to circumvent or bypass any technological measures, security controls, or access restrictions implemented by LEGION.
- g) Fraud or Misrepresentation: Any activities involving fraud, misrepresentation, or the provision of false or misleading information to LEGION or other users.
- h) Regulatory Violations: Any activities that violate or attempt to violate applicable laws, regulations, or rules related to the trading, investment, or handling of digital assets or financial instruments.
5.3 Consequences of Prohibited Activities
LEGION reserves the right to take appropriate actions, including but not limited to account suspension, termination, or legal action, in response to any prohibited activities or violations of these Terms and Conditions. Users may be held liable for any damages, losses, or expenses incurred by LEGION or other parties as a result of their prohibited activities.
5.4 Cooperation with Authorities
LEGION may cooperate with law enforcement authorities, regulatory agencies, or other third parties in investigating and addressing any suspected or alleged violations of these Terms and Conditions, applicable laws, or regulations.
ARTICLE 6: INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS
6.1 Ownership of Platform Content
The LEGION platform, including but not limited to its software, user interfaces, graphics, logos, trademarks, and other content, is the proprietary property of LEGION and its licensors and is protected by applicable intellectual property laws. Users acknowledge and agree that they do not acquire any ownership rights or intellectual property rights in the platform or its content by accessing or using the platform.
6.2 Limited License
LEGION grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform and its content solely for the purposes permitted by these Terms and Conditions and subject to compliance with all applicable laws and regulations.
6.3 Restrictions on Use
Users are strictly prohibited from:
- a) Modifying, adapting, translating, or creating derivative works based on the platform or its content without prior written consent from LEGION.
- b) Reverse engineering, decompiling, or disassembling the platform or any of its components.

6.4 User-Generated Content
LEGION does not claim ownership of any user-generated content, such as comments, reviews, or other materials, uploaded or submitted by users on the platform. However, by uploading or submitting such content, users grant LEGION a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, and sublicensable license to use, reproduce, distribute, modify, adapt, and publicly display the user-generated content for the purposes of operating and promoting the platform.
6.5 Takedown Notices
LEGION respects the intellectual property rights of others and will respond to valid takedown notices in accordance with applicable laws and regulations. If users become aware of any infringing or unauthorized use of their intellectual property on the platform, they should promptly notify LEGION and provide the necessary information to support their claim.
6.6 Third-Party Content
The LEGION platform may include or provide access to third-party content, such as information, data, or materials from external sources. LEGION does not endorse or assume any responsibility for the accuracy, completeness, or reliability of such third-party content. Users acknowledge and agree that their use of any third-party content is at their own risk.
ARTICLE 7: LIMITATIONS OF LIABILITY AND INDEMNIFICATION
7.1 Disclaimer of Warranties
The LEGION platform and its services are provided on an “as is” and “as available” basis, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. LEGION does not guarantee the availability, accuracy, completeness, or reliability of the platform or its services.
7.2 Limitation of Liability
To the maximum extent permitted by applicable law, LEGION, its affiliates, and their respective directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for lost profits, loss of data, or business interruption, arising out of or in connection with the use or inability to use the platform or its services, even if LEGION has been advised of the possibility of such damages.
In no event shall LEGION’ total liability to a user, whether based on contract, tort (including negligence), or otherwise, exceed the amount paid by the user to LEGION for accessing or using the platform during the twelve (12) months preceding the event giving rise to the claim.
7.3 Indemnification
Users agree to indemnify, defend, and hold harmless LEGION, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
- a) The user’s use or misuse of the platform or its services;
- b) The user’s violation of these Terms and Conditions or any applicable laws or regulations;
- c) The user’s infringement or violation of the rights of any third party, including intellectual property rights; or
- d) Any disputes or claims between the user and any other user of the platform.
7.4 No Liability for Third-Party Services
LEGION may provide links or access to third-party websites, applications, or services on or through the platform. LEGION does not endorse or assume any responsibility for the content, products, services, or practices of such third parties. Users acknowledge and agree that LEGION shall not be liable for any damages, losses, or liabilities arising from the use of such third-party services.
ARTICLE 8: DISPUTE RESOLUTION AND GOVERNING LAW
8.1 Governing Law
These Terms and Conditions and any disputes arising out of or in connection with the use of the LEGION platform shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law principles.
8.2 Arbitration
Any dispute, controversy, or claim arising out of or in connection with these Terms and Conditions or the use of the LEGION platform, including any question regarding its existence, validity, or termination, shall be resolved by binding arbitration in accordance with the rules of Panama in effect at the time of the arbitration, except as such rules may be modified herein or by mutual agreement of the parties. The arbitration shall be conducted by two arbitrators appointed by the parties and a presiding arbitrator appointed by the elected arbitrators. The seat of arbitration shall be Panama, and the language of the arbitration proceedings shall be Spanish.

- b) Engagement in prohibited activities or conduct that poses a risk to LEGION, other users, or third parties;

- e) Inactivity or abandonment of the user’s account for an extended period.
11.2 Termination by User

12.5 Force Majeure
LEGION shall not be liable for any delay or failure to perform its obligations under these Terms and Conditions due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, earthquakes, or strikes.
